Terms of Service

1. Who these terms are between

MAXXUS.AI ENTERPRISES INC. ("Maxxus.ai", "we"), a Canadian corporation under the Canada Business Corporations Act (corporation number 761279-6) with its office in Montreal, Quebec, and the business that hires an AI employee ("you"). By posting a job, interviewing an employee or paying a wage, you accept these terms on behalf of your business. If you use the service through a partner under the partner's brand, the partner's agreement with you governs your relationship with the partner, and these terms govern our service.

2. What you are hiring

An AI employee is software that answers and places calls and texts for your business from a brief you approve. It is not a person and says so. It follows the Maxxus.ai Employee Handbook, which is part of these terms. Where the handbook and these terms conflict, these terms govern.

3. Your brief and your responsibilities

You provide the facts your employee answers from and you keep them accurate. You are responsible for what you ask it to say and do, for having the right to use the phone numbers and records you give it, and for the consents in section 5. You will not use the service for anything unlawful, deceptive or harassing, or as an emergency service. An AI employee is not a substitute for emergency services; the emergency dispatch role routes calls to your on-call person under the rules in your brief and does not contact emergency services.

4. What we do

We operate the employee, record and transcribe its calls for you, text you the summaries and recordings, send you a weekly report, and hand calls to a person when the caller asks or your brief requires. We may update the underlying models and platform without notice as long as the handbook rules still hold.

5. Consent, calling rules and recording

Outbound calls and texts are placed only to people who have agreed to hear from your business, and you hold that consent and its record. You confirm that every number you give an outbound role carries the consent the law requires for that kind of contact where the person lives, that you will honour opt-outs, and that you will not give us numbers you are required to leave alone. Every call is recorded with a notice at the start; where the law where your callers live requires specific words or a recording consent, your brief sets them and you are responsible for them. You will defend and indemnify us against claims arising from calls or texts placed at your direction without the consent or notice the law requires.

6. Wages and billing

Wages are published on our wages page and are part of these terms as of the day you hire. Every first hire starts on probation: seven days or fifty calls, whichever comes first, at no charge, with a valid credit card on file at sign-up. When the probation ends, your first hire is billed monthly in advance from that day; each additional hire is billed from the day it starts. There is no setup fee. Minutes are pooled across every employee on your brief; spam, robocalls and hang-ups do not count. When the pool is used, your plan adds 100 minutes for a flat $49 automatically and we text you at 80% and 100% of the pool; if a third block is added in one month, a person from Maxxus.ai calls you. A wage change reaches you only at a billing date after 30 days' notice. Taxes are added where they apply. A failed payment suspends the employee 7 days after we notify you; it resumes when the balance is paid.

7. Term, changes and ending

Every hire is month to month. Add a hire any time; it is billed from that day for the rest of the month. Drop a hire any time; it works to the end of the month you already paid. Cancel everything before your next billing date and nothing further is charged; the current month runs to its end. Overage blocks added in a month are used by month end or not at all. We may end the service on 30 days' notice, or at once if you breach section 3 or 5 or do not pay. When the service ends, you may export your recordings, transcripts and contacts for 30 days, after which we delete them.

8. Your data

Recordings, transcripts, contact details and your brief are yours. You give us the right to use them to run the service for you, to keep the records the law requires, and to improve the service for you; never to train models for anyone else and never to contact your customers with offers. We act on your instructions as your service provider, keep the information confidential and secure, use providers under written terms at least as protective, and help you answer requests from your customers about their information. If your practice or business is subject to health-privacy rules, you remain responsible for them and we will sign the data agreement your rules require before the employee starts.

9. What the AI cannot do, and what we do not warrant

AI employees can mishear, misunderstand or say something your brief did not cover. They do not give legal, medical, financial or other professional advice, and nothing they say creates a commitment on your behalf beyond your brief. We provide the service as described here and in the handbook and make no other warranty, express or implied, to the extent the law allows.

10. Limits on liability

To the extent the law allows, neither of us is liable to the other for indirect, consequential or lost-profit damages, and our total liability to you for all claims in any twelve months is the wages you paid us in those twelve months. These limits do not apply to your obligations under section 5, to either party's breach of confidentiality, or to anything the law does not allow to be limited.

11. Partners

If you resell our service under your brand, the partner agreement governs. Nothing on our site is an offer of partner pricing.

12. Law and disputes

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Disputes go to the courts of Ontario, sitting in Toronto, except that either of us may seek an injunction anywhere. Before suing, each of us agrees to try to resolve the matter in a call between principals within 30 days.

13. Changes to these terms

We may change these terms with 30 days' notice by email and on this page. Continued use after the date is acceptance. Wage changes follow section 6.

14. The rest

These terms, the wages page, the handbook and the privacy policy are the whole agreement. If a part is unenforceable, the rest stands. Neither party may assign without consent, except to a successor of its business. Notices go to legal@maxxus.ai and to the email on your account. Both parties have asked that these terms be written in English.
